NGX Group Hits Record ₦15.6 Billion Profit in FY 2025; Rewards Shareholders with ₦3.00 Dividend and 1-for-3 Bonus Issue

LAGOS — Nigerian Exchange Group (NGX Group) Plc has released a stellar full-year 2025 financial result, reporting a profit after tax of ₦15.6 billion.

The performance marks a significant milestone for the group, reflecting the heightened trading activity and record-breaking bull run that characterized the Nigerian capital market over the past year.

In a move that has energized the investor community, the Board of Directors recommended a final dividend of ₦3.00 per share, alongside a highly anticipated 1-for-3 bonus issue, signaling strong confidence in the group’s future growth trajectory.

Financial Highlights: The 2025 Performance Surge

The group’s profitability was driven by a massive increase in transaction fees and treasury investment income as the Nigerian All-Share Index hit historic peaks in 2025.

MetricFY 2025 ResultYear-on-Year Change
Gross Earnings₦28.4 Billion+54.2%
Profit Before Tax₦21.8 Billion+61.5%
Profit After Tax₦15.6 Billion+58.3%
Proposed Dividend₦3.00 per shareSignificant Increase
Bonus Issue1 New Share for every 3 heldN/A

Shareholder Value: The “Double Reward” Strategy

NGX Group’s decision to combine a cash payout with a bonus issue is being viewed by analysts as a strategic move to improve market liquidity and reward long-term loyalty.

1. The ₦3.00 Cash Dividend

The ₦3.00 dividend represents one of the highest payout ratios in the group’s history. For institutional investors and retail shareholders alike, this provides immediate liquidity, especially as the market prepares for the 304th MPC meeting’s potential interest rate adjustments.

2. The 1-for-3 Bonus Issue

By issuing one new share for every three existing shares, NGX Group is effectively expanding its share capital base.

  • Why it matters: Bonus issues typically increase the number of shares in circulation, making the stock more accessible (liquid) to a broader range of retail investors.
  • Capital Appreciation: While bonus issues technically dilute the price per share, the strong underlying profit of ₦15.6 billion suggests the market will likely bid the price back up as the “ex-bonus” date approaches.

What Drove the ₦15.6 Billion Profit?

Several factors contributed to this record-breaking year for the Exchange Group:

  • The Listing Boom: A surge in new listings and rights issues—particularly from the ₦4.05 trillion banking recapitalization exercise—generated significant processing and listing fees.
  • Market Volatility & Volume: The high-volume trading triggered by geopolitical tensions and the “Oil & Gas rally” in late 2025 resulted in a windfall of transaction charges.
  • Technology Monetization: Continued investment in the group’s digital infrastructure allowed for higher data-vending revenue and improved operational efficiency.

Market Reaction & Outlook for 2026

Following the announcement on February 28, NGX Group shares saw a spike in demand as investors moved to qualify for the dividend and bonus.

  • The “Bull” Momentum: With the market already jumping 16.6% in February 2026, the Exchange Group is essentially profiting from its own success.
  • Expansion Plans: Management hinted that part of the retained earnings would be channeled into further diversifying the group’s revenue streams, possibly into fintech and commodity exchange integration.

The NGX FY 2025 Results

NGX Group’s FY 2025 results prove that the exchange is not just a platform for growth, but a high-growth entity in its own right. With a ₦15.6 billion profit and a generous 1-for-3 bonus, the group has set a high bar for corporate governance and shareholder returns in 2026.
